1. General

This website (the "Site") is owned and operated by JWT Music Studio, LLC ("Company," "we," "our," or "us"). By using the Site, you agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site, products, or services.

By accessing or using the Site in any way — whether automated or otherwise — you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

We reserve the right to change these Terms of Service at any time. Any modifications will be posted on this page, and your continued use of the Site constitutes acceptance of those changes.


2. SMS Messaging

JWT Music Studio, LLC offers SMS (text message) communications to users who have opted in through our website or registration forms. By opting in, you may receive messages related to discovery call scheduling, lesson reminders, program updates, and, if separately consented, promotional offers and marketing communications. Consent to receive SMS messages is never required to submit a form or complete a purchase. You must be 18 years of age or older to use this SMS service.

Opting Out: You can cancel SMS service at any time by texting STOP to +1 213-523-7372. After sending STOP, you will receive one final SMS confirming your unsubscription. You will not receive further SMS messages from us unless you opt in again. To re-enroll, sign up as you did the first time.

Support: If you experience issues with the messaging program, reply HELP for assistance, or contact us directly at [email protected].

Carrier Liability: Carriers are not liable for delayed or undelivered messages.

Message Frequency and Rates: Message frequency may vary. Message and data rates may apply for messages sent to you from us and from you to us. Contact your wireless provider if you have questions about your text or data plan.

Texas Residents: If you are a resident of Texas, you have specific rights under the Texas Business & Commerce Code regarding automated communications. Your consent to receive SMS messages is voluntary and is never a condition of purchase or enrollment. 3. Intellectual Property Rights

Our Limited License to You

The Site and all materials available on it — including but not limited to text, graphics, design, videos, audio, and logos — are owned or licensed by JWT Music Studio, LLC and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, personal, non-exclusive, non-transferable license to use the Site and materials for personal, non-commercial, educational purposes only. You may not reproduce, distribute, modify, republish, upload, transmit, sell, or create derivative works without our prior written permission.

You may, however, download or print a reasonable number of copies for your personal use, provided you keep intact all copyright and proprietary notices.

Your License to Us

By submitting, posting, or sending any materials (e.g., testimonials, comments, feedback, media) to us via the Site, email, or social platforms, you grant JWT Music Studio, LLC a non-exclusive, royalty-free, worldwide license to use such content for educational, promotional, or business purposes, provided that we have your consent when identifying you by name, likeness, or other identifying details.

Note for Enrolled Students: Students enrolled in the Flute Evolution program are subject to the intellectual property, program materials, and plagiarism terms set forth in the Community Guidelines and Agreement, which govern in the event of any conflict with this section regarding Program participation.


4. Prohibited Use of Artificial Intelligence

Users of this Site may not input, upload, submit, or otherwise make available any content, materials, or information obtained from this Site to any artificial intelligence system, machine learning model, large language model, neural network, or similar technology for any purpose, including without limitation training, analysis, summarization, or reproduction.

Students enrolled in the Flute Evolution program are subject to a more comprehensive prohibition on AI use as set forth in the Community Guidelines and Agreement. In the event of any conflict between this section and the Community Guidelines and Agreement regarding Program participation, the Community Guidelines and Agreement shall control.


5. Limitations on Linking and Framing

You may link to our Site as long as the link does not misrepresent or imply sponsorship or endorsement. You may not frame or inline link our content without prior written consent.


6. Disclaimers

The Site may contain links to third-party websites. We are not responsible for the content, accuracy, or services provided on those websites.

The Site, and all products, services, and information provided by JWT Music Studio, LLC, are offered "as is" and without warranties of any kind — express or implied. This includes, but is not limited to, warranties of merchantability and fitness for a particular purpose.

Results Disclaimer: We make no guarantees regarding individual progress or results from lessons, courses, or materials. Student development depends on practice, effort, and other factors outside our control. Past results do not guarantee future outcomes.


7. Online Commerce

When purchasing lessons, services, or materials through the Site, you agree to provide accurate information and valid payment details. Payments are processed through third-party providers such as Stripe or PayPal. If you elect to use third-party financing services such as Affirm or Klarna, those providers operate under their own terms and privacy policies independently of this Agreement.

Your purchase is for personal educational use only. Sharing access to purchased lessons or resources is not permitted and may result in termination of access.

If payment is declined or a subscription lapses, access to premium content may be suspended until billing issues are resolved.

Each product or service will specify its own refund policy. If no policy is provided, all sales are considered final.


8. Interactive Features / Community Participation

We may offer online communities, lesson forums, or group programs. By participating, you agree not to post or share content that is unlawful, harmful, defamatory, obscene, infringing, or otherwise inappropriate.

We reserve the right to remove any content and to suspend or terminate community access at our discretion to maintain a positive and safe environment.


9. Event Participation and Recordings

By participating in any Flute Evolution or JWT Music Studio masterclass, webinar, or other online or in-person event, you grant JWT Music Studio, LLC and its representatives permission to record, photograph, or otherwise capture the session for educational, archival, and promotional purposes.

If you prefer not to appear in recordings, you may participate with your camera and microphone turned off and by using a generic display name.

For participants under 18, consent must be provided by a parent or guardian during registration.

Recordings may be used in educational materials, shared on social media, or included in future promotional content, always in accordance with our Privacy Policy. See also "How We Use Your Information" in our Privacy Policy for details about event recordings.

Note for Enrolled Students: Students enrolled in the Flute Evolution program grant a full, irrevocable license to use their likeness, recordings, and testimonials as set forth in the Community Guidelines and Agreement. Those terms govern in the event of any conflict with this section regarding Program participation.


10. Registration & Passwords

To access certain features, you may need to register and create an account. You agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity that occurs under your account.


11. Limitation of Liability

To the fullest extent permitted by law, JWT Music Studio, LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site, services, or materials — even if we were advised of the possibility of such damages.

Your sole remedy for dissatisfaction with the Site or services is to stop using them.


12. Indemnification

You agree to indemnify, defend, and hold harmless JWT Music Studio, LLC, our affiliates, officers, employees, and partners from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of your use of the Site, breach of these Terms, or violation of applicable law.


13. Termination

We may suspend or terminate your access to the Site or services at any time, without notice, for violation of these Terms or other conduct we deem harmful.


14. Refund Policy

Unless otherwise specified for a particular course, event, or service, all sales are final. Refunds, if offered, will be clearly stated at the time of purchase.


15. Copyright & DMCA Policy

If you believe your copyrighted material has been infringed upon on our Site, you may send a notice under the Digital Millennium Copyright Act (DMCA) to:

16. Force Majeure

We are not responsible for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, internet or telecommunications failures, or government restrictions.


17. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

Prior to initiating any legal action, the party asserting a claim must provide written notice of the dispute to the other party. The parties agree to make a good-faith effort to resolve the dispute through informal negotiation for a period of thirty (30) days following delivery of such notice. If the dispute is not resolved within that period, either party may submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator in Sacramento County, California, with costs shared equally unless otherwise agreed in writing. If mediation does not resolve the dispute within sixty (60) days of the mediator's appointment, either party may pursue available legal remedies in the state or federal courts located in Sacramento County, California. You consent to the personal jurisdiction and venue of such courts to the fullest extent permitted by applicable law.

Class Action Waiver: Any dispute or claim must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Note for Enrolled Students: Students enrolled in the Flute Evolution program are subject to the governing law and dispute resolution terms set forth in the Community Guidelines and Agreement, which govern in the event of any conflict with this section regarding Program participation.


18. International Use

If you access the Site outside the U.S., you do so at your own risk and are responsible for compliance with local laws. We do not represent that our Site or services are available or appropriate in other jurisdictions.


19. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

These Terms of Service and our Privacy Policy constitute the entire agreement between you and JWT Music Studio, LLC regarding use of this Site, and supersede any prior agreements, written or oral, related to such use. Students enrolled in the Flute Evolution program are additionally governed by the Community Guidelines and Agreement, which controls regarding Program participation matters.
